1. Conclusion of contract:
The terms and conditions of purchase of HELDECO CAD/CAM FERTIGUNGSTECHNIK GmbH shall apply exclusively to our orders. Any deviating terms and conditions of sale of the supplier shall not be accepted. If the supplier does not object to our terms and conditions of purchase and our order in writing within 14 days, the order including the terms and conditions of purchase shall be deemed accepted.

2. Adherence to deadlines:
The supplier shall comply with the order promptly (within two working days at the latest). Longer delivery times must be expressly agreed in writing. In the event of a delay in delivery, a compensation amount of 1 % of the total value of the order shall be agreed for each full week from receipt of our order. Regardless of this, HELDECO CAD/CAM FERTIGUNGSTECHNIK GmbH shall be entitled to withdraw from the contract and to assert further claims for compensation (in addition to the aforementioned compensation amount).

3. Labelling:
All deliveries are to be marked with the order numbers and commission number according to our written order. Place of performance is the registered office of HELDECO CAD/CAM FERTIGUNGSTECHNIK GmbH.
Freight costs shall only be borne by HELDECO if expressly agreed in writing.

4. Warranty:
A warranty period of 24 months is agreed. (Partial) payments made by HELDECO shall not be deemed as a waiver of the notice of defects.

5. Secrecy:
All data transmitted by HELDECO shall be subject to confidentiality. The Supplier undertakes to use all data material supplied exclusively for HELDECO’s orders.

6. Place of jurisdiction:
It is agreed that the place of jurisdiction shall be the court having subject-matter jurisdiction and local jurisdiction for A-8624 Turnau. The place of performance shall be the registered office of HELDECO in Turnau.

7. Applicable law:
Austrian law shall be exclusively applicable as agreed. The applicability of the UN Convention on Contracts for the International Sale of Goods is excluded.

8. Miscellaneous:
If individual parts of these Terms and Conditions of Purchase are ineffective or invalid or unenforceable, this shall not affect the remaining provisions of these Terms and Conditions of Purchase of HELDECO (severability clause).
