1. Conclusion of Contract:
Our purchasing terms and conditions exclusively apply to our orders. Deviating sales terms and conditions from the supplier will not be accepted. If the supplier does not object to our purchasing terms and conditions and our order in writing within 14 days, the order, including the purchasing terms and conditions, shall be deemed accepted.
2. Punctuality:
The supplier shall fulfil the order promptly (within two working days at the latest). Longer delivery times must be expressly agreed in writing. In the event of a delay in delivery, a compensation payment of 1 % of the total value of the order shall be agreed for each full week from the date of receipt of our order. Irrespective of this, HELDECO CAD/CAM FERTIGUNGSTECHNIK GmbH shall be entitled to withdraw from the contract and to assert further claims for compensation (in addition to the aforementioned compensation payment).
3. Labelling
All deliveries must be marked with the order number and commission number in accordance with our written order. The place of performance shall be the registered office of HELDECO CAD/CAM FERTIGUNGSTECHNIK GmbH.
Shipping costs are only borne by HELDECO by express written agreement.
4. Warranty:
A warranty period of 24 months will be agreed. Payments (part) made by HELDECO do not constitute a waiver of the right to complain about defects.
5. Confidentiality:
All data transmitted by HELDECO is subject to confidentiality. The supplier undertakes to use all delivered data exclusively for HELDECO's orders.
6. Jurisdiction:
The court having jurisdiction, both in terms of subject matter and territory, shall be the court with responsibility for A-8624 Turnau. The place of performance shall be HELDECO's registered office in Turnau.
7. Applicable Law
Austrian law shall apply exclusively. The applicability of the UN Convention on Contracts for the International Sale of Goods is excluded.
8. Miscellaneous:
If individual provisions of these purchasing terms are ineffective, invalid, or unenforceable, this shall not affect the remaining provisions of these HELDECO purchasing terms (severability clause).
